1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Bharatayan platform ("Platform"), operated by Hatke Design Concepts Private Limited ("Company", "we", "us", "our"), a company incorporated under the Companies Act, 2013, bearing CIN U46493MH2023PTC404130, with its registered office at Chembur, Mumbai.

By accessing, registering on, or using the Platform in any manner, you ("User", "you", "your") agree to be unconditionally bound by these Terms and our Privacy Policy (collectively, the "Platform Documents"). If you do not agree, you must immediately discontinue use of the Platform and request deletion of your data by writing to contact@bharatayan.com.

These Terms form part of a two-document suite alongside the Privacy Policy. On matters of personal data, the Privacy Policy prevails. On all other matters, these Terms govern.

2. Platform Description and Nature of Service

Bharatayan is a private commercial platform designed to help Users discover and track their consumption of Indian brands, Indian companies, and products manufactured in India. The Platform generates an algorithmic indicator known as the "Bharatayan Score" based on User-provided questionnaire responses and registration data.

The Platform and the brand "Bharatayan" are owned and operated exclusively by Hatke Design Concepts Private Limited. Bharatayan is not a separate legal entity. The Platform has no affiliation with the Government of India, any ministry, department, public authority, or state-run initiative. Any alignment with initiatives such as "Vocal for Local" reflects the Company's independent commercial mission only.

3. Eligibility and Registration

3.1 Age Requirement

The Platform is strictly available to individuals who are 18 years of age or older. Minors are not permitted to register or use the Platform under any circumstances, including under parental or guardian supervision. By registering, you confirm that you are at least 18 years of age. If the Company discovers that a User is below 18, the account will be immediately suspended and all associated data permanently deleted.

3.2 General Eligibility

To register, you must also have the legal capacity to enter into a binding agreement under applicable Indian law and not be barred from receiving services under any applicable law.

3.3 Registration

You agree to provide accurate, current, and complete registration data including your name, age, gender (optional — treated as Sensitive Personal Data), and occupation. You are responsible for maintaining the accuracy of this information and for all activity under your account. Notify us immediately at contact@bharatayan.com if you suspect any unauthorised access.

4. The Bharatayan Score

4.1 Nature of the Score

The Bharatayan Score is an indicative, algorithmically generated metric that reflects the degree to which a User's consumption patterns align with Indian brands, Indian companies, and products manufactured in India. The Score is generated using your questionnaire responses together with your registration data (age, gender, occupation).

4.2 Limitations and Disclaimers

The Bharatayan Score is not a financial rating, credit assessment, legal certification, investment recommendation, or government endorsement. No User is required to achieve any Score to access the Platform. You must not place any commercial, legal, or official reliance on the Score or any recommendation generated by the Platform.

4.3 Score Disputes

If you believe your Score reflects inaccurate inputs, you may request a review by writing to contact@bharatayan.com with the subject line [SCORE DISPUTE — BHARATAYAN]. We will acknowledge within 5 Working Days and respond within 30 days.

4.4 Score Sharing

Any sharing of your Bharatayan Score on social media or third-party platforms is entirely at your discretion. The Company bears no responsibility for how shared content is received, used, or interpreted by third parties.

5. Brand Classification

Products and brands on the Platform are assessed against a three-tier framework: Indian Brand, Indian Company, and Made in India. Classifications are based on publicly available information and are made solely for the Platform's scoring purposes. They carry no legal or commercial weight and do not constitute any certification, guarantee, or endorsement.

Classifications may not reflect subsequent changes in ownership, manufacturing practices, or corporate structure and are not represented as definitive or error-free. Any brand wishing to dispute its classification may write to contact@bharatayan.com with the subject line [CLASSIFICATION DISPUTE — BHARATAYAN] along with supporting documentation. We will acknowledge within 5 Working Days and respond within 30 days.

6. Affiliate Marketing and Brand Listings

The Platform operates an active affiliate marketing and brand listing model. Brands may pay to feature content, videos, messaging, and recommendations on the Platform ("Brand Listings"). The Company may also earn affiliate commissions when Users interact with or purchase products through links or recommendations on the Platform ("Affiliate Links").

All Partnered Recommendations and Affiliate Links are clearly identified as such at the point of display on the Platform. The existence of a commercial arrangement between the Company and a brand does not influence the generation of the Bharatayan Score, which is produced solely on the basis of User inputs and the Brand Classification framework. The disclosure of a commercial relationship is made in compliance with applicable advertising and consumer protection standards, including the guidelines of the Advertising Standards Council of India (ASCI).

The Company does not guarantee the quality, availability, accuracy, or fitness for the purpose of any product or service promoted through a Brand Listing or Affiliate Link. Any purchase or transaction made through an Affiliate Link is between the User and the relevant third-party brand or platform. The Company bears no liability for such transactions.

7. User-Generated Content

Registered Users may submit product reviews and ratings through the Platform's review feature. By submitting a review, you grant the Company a non-exclusive, royalty-free, perpetual licence to display, reproduce, and use your review on the Platform.

Reviews are publicly visible on the Platform. Your profile will not be publicly attributed to your review unless you expressly consent to attribution. You are solely responsible for the accuracy, legality, and appropriateness of any content you submit.

is false, misleading, defamatory, or malicious in respect of any brand, product, or individual;
infringes the intellectual property rights of any third party;
contains personal data of third parties without their consent;
is obscene, offensive, or otherwise unlawful; or
is submitted in exchange for payment or undisclosed commercial consideration.

The Company reserves the right — but does not assume the obligation — to review, moderate, decline to publish, or remove any content that violates these standards or is the subject of a valid complaint or legal notice. Exercising this right does not constitute editorial responsibility or a waiver of the Company's intermediary status under the IT Act.

8. User Obligations and Prohibited Conduct

8.1 General Obligations

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

provide false, misleading, or inaccurate information during registration or on any questionnaire;
attempt to manipulate or artificially inflate your Bharatayan Score;
reverse engineer, decompile, or otherwise attempt to derive the source code or algorithm underlying the Platform or the Score;
upload or transmit any content that is defamatory, obscene, or otherwise unlawful;
introduce any virus, malware, or harmful code into the Platform;
use automated scripts, bots, or data-scraping tools to access or extract data from the Platform;
impersonate any person or entity or misrepresent your affiliation with any person or entity;
engage in any activity that disrupts the integrity or operation of the Platform; or
use the Platform for any commercial purpose not expressly authorised by the Company.

8.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. Notify us immediately at contact@bharatayan.com upon becoming aware of any unauthorised access or security breach.

9. Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to the Bharatayan brand, logo, software, algorithms, content, design, layout, and the Bharatayan Score methodology, vest exclusively in Hatke Design Concepts Private Limited or its licensors. Nothing in these Terms grants you any right, title, or licence to any intellectual property of the Company. You may not reproduce, distribute, modify, or otherwise exploit any content or material from the Platform without our prior written consent.

10. Communications and Marketing

Subject to your explicit consent, the Company may communicate with you via WhatsApp, email, and push notifications. Consent for each communication channel is independent and separately revocable. No channel is pre-selected at registration.

WhatsApp communications are delivered via the WhatsApp Business Platform operated by Meta Platforms Inc. All marketing emails include an unsubscribe link. You may withdraw your marketing consent at any time through your account settings, the unsubscribe link in any email, by sending STOP in response to any WhatsApp message from us, or by writing to contact@bharatayan.com.

Opt-out requests will be processed within [X] Working Days and applied prospectively. Withdrawal of marketing consent does not affect Platform access or administrative communications.

11. Third-Party Services and Links

The Platform may integrate with or contain links to third-party services including cloud hosting, analytics, communication, and e-commerce platforms. These third parties are independent of the Company and their services are governed by their own terms and privacy policies. The Company is not responsible for the content, accuracy, or practices of any third-party service. Your use of any third-party service is entirely at your own risk.

12. Disclaimers and Limitation of Liability

12.1 Platform Provided "As Is"

The Platform and all content, features, and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. The Company does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.

12.2 Limitation of Liability

To the fullest extent permitted by applicable Indian law, the Company, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including any loss of data, revenue, or reputation.

12.3 Score, Classification, and Recommendation Reliance

The Company expressly disclaims all liability arising from any reliance placed on the Bharatayan Score, any brand classification, or any recommendation — whether commercially promoted or otherwise. All such outputs are indicative tools only. Any decisions made on the basis of the Score, classifications, or recommendations are made entirely at the User's own risk.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hatke Design Concepts Private Limited and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) any content you submit to or share through the Platform.

14. Data Protection and Privacy

The collection, use, storage, and processing of your personal data is governed exclusively by our Privacy Policy, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy on matters of personal data, the Privacy Policy shall prevail. The Platform is designed to comply with the DPDPA and the IT Act.

15. Suspension and Termination

15.1 Termination by User

You may delete your account at any time through your account settings or by writing to contact@bharatayan.com. Deletion is irreversible and your personal data will be handled in accordance with our Privacy Policy.

15.2 Suspension or Termination by the Company

The Company reserves the right to suspend, restrict, or terminate your access to the Platform, with or without notice, in the event of: (a) a breach of these Terms; (b) conduct that is fraudulent, unlawful, or harmful to the Platform or other Users; (c) a court order or directive from a competent authority; or (d) any other circumstance in which continued access would be contrary to applicable law or the Company's legitimate interests. The Company may also terminate or discontinue the Platform at any time by providing reasonable notice where practicable.

15.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Sections 9, 12, 13, 16, and 17 shall survive termination.

16. Amendments to These Terms

The Company reserves the right to amend these Terms at any time. Material changes will be notified via the Platform and by email with at least 30 days' prior notice. Non-material changes will be notified with 15 days' prior notice. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue use and request account deletion.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of India, including the DPDPA, the IT Act, the Indian Contract Act, 1872, and all other applicable legislation.

17.2 Jurisdiction

All disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra. Users accessing the Platform from outside India do so voluntarily and acknowledge that Indian law governs their access and use.

17.3 Informal Resolution

Before initiating formal proceedings, Users are encouraged to attempt informal resolution by contacting the Grievance Officer at contact@bharatayan.com with the subject line [GRIEVANCE — BHARATAYAN]. The Grievance Officer will acknowledge within 48 Working Hours and endeavour to resolve within 30 days. For complex matters, an extended timeline not exceeding 60 days may apply.

Grievances may relate to any aspect of Platform use, including data concerns, unfulfilled rights, Score disputes, content issues, affiliate transparency, or compliance matters. Include your name, registered email, description of the issue, remedy sought, and supporting documents. Unresolved grievances may be escalated to the Data Protection Board of India or any competent regulatory authority.

19. General Provisions

Entire Agreement — these Terms and the Privacy Policy constitute the entire agreement between you and the Company with respect to the Platform and supersede all prior agreements.

Severability — if any provision is found invalid or unenforceable, the remaining provisions continue in full force.

Waiver — no failure or delay by the Company in exercising any right constitutes a waiver of that right.

Assignment — you may not assign your rights under these Terms without our prior written consent. The Company may assign its rights in connection with a merger, acquisition, or sale of assets.

Force Majeure — the Company shall not be liable for any failure or delay due to causes beyond its reasonable control, including acts of God, war, pandemics, government orders, or failures of third-party service providers.
